1. Agreement

By using shop.jpghawaii.com or jpghawaii.com (the "Site"), or by placing an order with JPG Hawaii Inc. ("JPG Hawaii," "we," "us"), you agree to these Terms of Service and our Return & Refund Policy. If you don't agree, please don't use the Site or place an order.

Order of terms. A written quote or contract signed by both parties controls over these Terms where they conflict. Terms in your purchase order that differ from these are not binding unless we accept them in writing.
Changes. We may update these Terms. The version posted when you place an order applies to that order.
Electronic notices. You agree we may send order confirmations, proofs, invoices, and legal notices by email to the address you give us.
Site use. Site content (photos, templates, designs, text) belongs to JPG Hawaii or its licensors. You may use it only to plan and place orders with us.

2. Orders, pricing, and payment

Payment before production. Online orders are charged when placed. Custom work quoted separately requires the deposit or payment stated on the quote before production starts. Unless your quote says otherwise, invoices for approved accounts are due on receipt.
Pricing. Prices are in U.S. dollars. We may correct obvious pricing errors and will contact you before charging more; you may cancel instead.
Taxes. Hawaii general excise tax (GET) is added where it applies.
Checks. Make checks payable to JPG Hawaii Inc. and write the order or invoice number on the check. Orders paid by check start after the check clears.
Card data. Card payments are handled by our payment processor. We don't store full card numbers.
Duplicate orders. We're not responsible for duplicate orders you place by mistake, but we'll cancel one at no charge if it hasn't gone into production.
Refusal. We may decline any order, as permitted by law.

3. Artwork, proofs, and color

Your artwork. You are responsible for the content, spelling, and accuracy of artwork you supply or approve. We print approved files as submitted and are not liable for errors in:

Spelling, grammar, or punctuation
Phone numbers, addresses, web addresses, or prices
Fonts, bleeds, crop marks, die lines, transparency, or overprint settings
Finished size, where it matches the size you ordered or approved

File requirements. Supply print-ready files at full size, at least 150 dpi, with fonts outlined or embedded. We're not responsible for blurry or pixelated results from low-resolution files. If we spot an obvious file problem, we'll try to let you know, but we don't check every file.

Proofs. Turnaround starts after you approve the proof in writing (email or online approval). Verbal approvals aren't accepted. If you choose "No proof / run as is," you accept the product as printed from your file.

Color. Screens, digital proofs, and printed samples won't match the final print exactly, and colors vary slightly between materials and print runs. If an exact color matters, give us a Pantone (PMS) number when you order and we'll match it as closely as the material allows, at no extra charge. We don't match paint chips, vinyl charts, or other printed samples unless agreed in writing.

Design services. If we design your artwork, you get a set number of revision rounds as stated on your quote. Extra revisions are billed at our hourly design rate. Unless agreed otherwise in writing, editable source files stay with JPG Hawaii; you receive print-ready output files on request.

Content rules and rights. By ordering, you confirm you own or have permission to use every logo, image, name, and trademark in your artwork, and that it isn't defamatory, obscene, threatening, or unlawful. We may refuse to print content we consider objectionable or infringing.

Samples. We may photograph finished work for our portfolio and social media unless you ask us not to in writing when you order.

4. Production, shipping, and pickup

Turnaround. Production times shown on the Site or quote are estimates that start after payment and written proof approval. Large or complex orders may take longer.
Rush orders. Rush service is available on many products for an added fee. If we miss a rush date we confirmed, we refund the rush fee.
Delays. We aren't liable for delays outside our reasonable control, including weather, hurricanes, carrier or barge delays, equipment failure, power outages, supply shortages, or government action. A delay is not grounds to cancel a custom order already in production.
Shipping. Delivery dates from carriers are estimates. Shipments to neighbor islands and the mainland may travel by air or ocean freight. Risk of loss passes to you on delivery to the carrier, but we will help file claims for items damaged in transit (see the Return & Refund Policy).
Wrong address. If you give us an incorrect shipping address, reshipping costs are yours.
Local pickup. Orders can be picked up at 441 Cooke Street, Honolulu, during business hours once you receive a ready-for-pickup notice. Orders not picked up within 30 days may be disposed of without refund after notice to you.

5. Installation services

When installation is part of your order, these terms also apply:

Site access and permission. You confirm you have the property owner's or landlord's permission for the installation and will provide safe, clear access at the scheduled time.
Permits. Unless the quote says we will obtain them, you are responsible for sign permits, landlord approvals, and association approvals.
Surfaces. Install quotes assume clean, sound, standard surfaces. Removing old graphics, surface repair, after-hours work, lifts, or unforeseen conditions are billed as extra work after we tell you.
Removal. Vinyl and adhesive graphics may damage paint or surfaces on removal, especially on older or repainted surfaces. We aren't responsible for that damage.
Rescheduling. If we arrive and can't complete the work because the site isn't ready, a trip charge may apply.
Workmanship. We warrant our installation workmanship for 90 days. Contact us promptly about lifting, bubbling, or loose hardware caused by our installation and we'll fix it at no charge.

6. Warranty, liability, and indemnity

Limited warranty. We warrant that products will be free from defects in material and workmanship and will match your approved proof. Defects must be reported within 5 business days of receipt, as described in the Return & Refund Policy. Your remedy is a reprint or, at our option, a refund of the price paid for the affected item. This warranty doesn't cover normal outdoor weathering and fading, misuse, improper installation by others, or alteration.

Disclaimer. EXCEPT FOR THE WARRANTY ABOVE AND TO THE EXTENT ALLOWED BY LAW, PRODUCTS AND SERVICES ARE PROVIDED WITHOUT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of liability. TO THE EXTENT ALLOWED BY LAW, JPG HAWAII IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, OR MISSED EVENTS, EVEN IF ADVISED THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR THE ORDER THAT GAVE RISE TO THE CLAIM.

Indemnity. You agree to defend and hold harmless JPG Hawaii and its officers, employees, and contractors from claims, losses, and reasonable legal fees arising from (a) artwork or content you supplied, including trademark, copyright, privacy, or defamation claims; (b) your breach of these Terms; or (c) your violation of any law.

7. Governing law and general terms

Governing law. These Terms are governed by the laws of the State of Hawaii. Any lawsuit must be brought in the state or federal courts located in Honolulu, Hawaii, and you agree to those courts' jurisdiction.
Collections. Past-due invoices may be charged interest at 1% per month (or the highest rate allowed by law, if lower), plus reasonable collection costs and attorneys' fees.
Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
No waiver. Our not enforcing a term once doesn't waive it later.
Consumer rights. Nothing in these Terms limits rights you have under Hawaii consumer protection law that can't be waived.
